Welcome to OmniWeb. These Terms and Conditions (“Terms”) govern your use of the web hosting, web design, automation, and related technology services provided by OmniWeb (“we,” “us,” or “our”). By accessing our website or purchasing our services, you (“Client,” “you”) agree to be bound by these Terms.

1. Services Provided

OmniWeb offers a range of digital services, including but not limited to custom web design, web hosting infrastructure, server management, and AI-driven automation services. The specific details, deliverables, and timelines for your project will be outlined in a separate Service Level Agreement (SLA) or project proposal.

2. Web Design & Development Services

  • Revisions & Approvals: Design projects include a set number of revision rounds as specified in your proposal. Additional revisions outside the agreed scope will be billed at our standard hourly rate.

  • Client Responsibilities: The Client must provide all necessary content (text, images, branding guidelines) in a timely manner. Delays in providing content may result in project timeline extensions.

  • Delivery: Upon final payment, OmniWeb will deploy the website to the Client’s chosen hosting environment.

3. Web Hosting & Acceptable Use Policy (AUP)

  • Resource Allocation: Hosting accounts are subject to bandwidth, storage, and CPU limits based on your purchased tier. We reserve the right to temporarily suspend accounts that severely exceed resource limits and threaten overall server performance.

  • Prohibited Content: Clients may not use OmniWeb hosting services to store, transmit, or distribute illegal material, malware, spam (unsolicited bulk email), or content that infringes on intellectual property rights.

  • Backups: While OmniWeb implements regular server backups, clients are strictly responsible for maintaining their own independent backups of their websites and data.

  • Uptime Guarantee: We strive for a 99.9% network uptime. However, OmniWeb is not liable for downtimes caused by scheduled maintenance, third-party provider failures, or circumstances beyond our control (force majeure).

4. AI Agents & Automation Services

  • Third-Party APIs: For services involving AI voice agents, chatbots, or automated workflows, OmniWeb may utilize third-party platforms and APIs. We are not responsible for changes in pricing, rate limits, or service outages enforced by these third-party providers.

  • Compliance: The Client is solely responsible for ensuring that all automated communications (such as voice calls, SMS, or emails) comply with relevant local and federal marketing regulations (e.g., TCPA, CAN-SPAM Act).

5. Payment Terms & Billing

  • Invoicing: Design and development projects typically require a non-refundable upfront deposit before work begins, with the remaining balance due upon completion.

  • Hosting Subscriptions: Hosting and maintenance plans are billed automatically on a recurring basis (monthly or annually).

  • Late Payments: Failure to pay hosting invoices within [Insert Number, e.g., 7 days] of the due date may result in the suspension of services. A reactivation fee may apply.

  • Refunds: All payments for hosting, domain registrations, and completed design work are non-refundable unless otherwise stated in writing.

6. Intellectual Property

  • Client Content: The Client retains full ownership of all logos, text, and media provided to OmniWeb for the project.

  • Agency IP: OmniWeb retains the rights to any custom code, pre-existing frameworks, or proprietary automation scripts used to build the project, granting the Client a non-exclusive license to use them as part of the final delivered product.

7. Limitation of Liability

To the maximum extent permitted by law, OmniWeb shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data loss, or business interruption, arising out of the use or inability to use our services, even if we have been advised of the possibility of such damages.

8. Termination

  • By Client: You may cancel your hosting subscription at any time by providing a [Insert Number, e.g., 30-day] written notice.

  • By OmniWeb: We reserve the right to terminate or suspend your access to our services immediately, without prior notice, if you violate any provision of these Terms or our Acceptable Use Policy.
